Terms of Service

1. Acceptance of Terms

By accessing or using SquadUp ("the Service"), a mobile social networking application operated by DEKS MEDIA LLC, you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and DEKS MEDIA LLC.

If you do not agree to these Terms, you may not access or use the Service. Your use of the Service signifies your acceptance of these Terms and our Privacy Policy.

2. Age Requirement

You must be at least 18 years of age to use SquadUp.

By creating an account, you certify that you are 18 years of age or older. We reserve the right to request proof of age at any time, including but not limited to government-issued identification.

Misrepresenting your age is a serious violation of these Terms and may result in:

• Immediate account termination
• Permanent ban from the Service
• Reporting to law enforcement if applicable
• Potential legal action

If we discover that you are under 18 years of age, we will immediately terminate your account and delete all associated data.

3. Account Registration

To use SquadUp, you must create an account. When registering, you agree to:

• Provide accurate information: All registration information must be truthful, complete, and current
• Maintain account security: You are responsible for maintaining the confidentiality of your login credentials
• Update information: Promptly update your account information if it changes
• One account per person: You may only maintain one active account
• No account sharing: You may not share your account with others or transfer it to another person

You are responsible for all activities that occur under your account. If you suspect unauthorized use of your account, notify us immediately at support@squadup.app.

4. User Conduct

You agree to use SquadUp in a respectful and lawful manner. The following conduct is strictly prohibited:

Prohibited Behavior:

• Impersonating others or providing false information about your identity
• Harassment, bullying, threatening, or intimidating other users
• Posting illegal, offensive, hateful, or inappropriate content
• Attempting to access other users' accounts without permission
• Using the Service for commercial solicitation or spam without permission
• Misrepresenting your age or identity in any way
• Uploading content containing nudity, pornography, or sexually explicit material
• Promoting hate speech, violence, discrimination, or illegal activity
• Attempting to harm, exploit, or endanger minors in any way
• Violating any applicable local, state, national, or international laws
• Scraping, data mining, or using automated tools to access the Service
• Attempting to reverse engineer, decompile, or hack the Service
• Uploading viruses, malware, or other malicious code
• Creating multiple accounts to evade bans or restrictions

Violation of these conduct rules may result in immediate account suspension or termination, and in serious cases, reporting to law enforcement.

5. Content Guidelines

All profile content, including photos, videos, bio text, and messages, must comply with our community standards and applicable laws.

Specifically Prohibited Content:

• Nudity or sexually explicit material: No nude photos, sexually explicit images, or pornographic content
• Violence or graphic content: No images depicting violence, gore, or graphic injury
• Hate speech or discriminatory content: No content promoting hatred, discrimination, or violence against individuals or groups
• Content involving minors: No images or content depicting or involving anyone under 18
• Spam, scams, or fraud: No fraudulent schemes, pyramid schemes, or attempts to deceive other users
• Copyrighted material: No content you don't have rights to use, including copyrighted images, music, or videos

Content Ownership and License:

You retain ownership of all content you post to SquadUp. However, by uploading content, you grant DEKS MEDIA LLC a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your content in connection with operating and providing the Service.

This license continues even after you delete your content or account, to the extent it has been shared with other users or is necessary for the operation of the Service.

6. Subscription and Payments

SquadUp offers both free and premium subscription tiers:

Payment Terms:

• All subscriptions are managed through Apple's App Store
• Payments, refunds, and cancellations are subject to Apple's terms and policies
• Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current subscription period
• Your account will be charged for renewal within 24 hours prior to the end of the current period
• You can manage your subscription and turn off auto-renewal in your Apple App Store account settings

No Refunds:

All sales are final. We do not provide refunds for subscription fees, except as required by law or Apple's policies.

7. Account Termination

We reserve the right to suspend or terminate accounts that violate these Terms, including but not limited to:

• Underage users: Accounts belonging to users under 18 years of age
• Prohibited conduct: Accounts engaged in harassment, fraud, or other violations
• Inappropriate content: Accounts posting content that violates our guidelines
• Age verification failure: Accounts that fail to provide requested age verification
• Multiple violations: Accounts with repeated violations of community standards
• Security threats: Accounts attempting to compromise the Service or other users

User-Initiated Deletion:

You may delete your account at any time through the app settings by navigating to "Account" → "Delete Account". Upon deletion:

• Your profile will be immediately removed from public view
• Your connections and conversations will be deleted
• Your personal data will be permanently removed within 90 days
• Any active subscription will continue until the end of the current billing period (no refunds)

8. Safety and Reporting

SquadUp provides tools to report inappropriate behavior and content. We take user safety seriously and encourage you to report any violations.

Report immediately if you encounter:

• A user who appears to be under 18 years of age
• Harassment, threats, or abusive behavior
• Inappropriate or explicit content
• Scams, fraud, or requests for money
• Impersonation or fake profiles
• Illegal activity or requests to engage in illegal activity

How to Report:

Use the in-app reporting feature available on every profile and message. We review all reports within 24-48 hours and take appropriate action, which may include warning the user, suspending their account, or permanent termination.

9. Intellectual Property

The SquadUp app, including its design, features, code, graphics, user interface, and all content (excluding user-generated content), is owned by DEKS MEDIA LLC and protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

The SquadUp name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of DEKS MEDIA LLC. You may not use these trademarks without our prior written permission.

You may not copy, modify, distribute, sell, or lease any part of our Service without our explicit written permission.

10. Disclaimer of Warranties

SquadUp is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Warranties that the Service will be uninterrupted, timely, secure, or error-free
• Warranties regarding the accuracy, reliability, or completeness of content
• Warranties regarding the quality of connections or outcomes

Use of the Service is at your own risk. We do not guarantee that the Service will meet your requirements or that it will be available at all times. We are not responsible for the conduct of any user, online or offline.

11. Limitation of Liability

To the maximum extent permitted by applicable law, DEKS MEDIA LLC and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Service, including but not limited to:

• Loss of profits, data, or business opportunities
• Personal injury or property damage
• Emotional distress or reputational harm
• Third-party claims or conduct

In no event shall our total liability to you for all damages, losses, and causes of action exceed one hundred dollars ($100.00).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless DEKS MEDIA LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your violation of these Terms
• Your use or misuse of the Service
• Your violation of any rights of another person or entity
• Your violation of any applicable laws or regulations
• Content you post or transmit through the Service

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

Arbitration Agreement:

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules.

The arbitration shall be conducted in Miami, Florida. Judgment on the arbitration award may be entered in any court having jurisdiction.

Class Action Waiver:

You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class action, consolidated action, or representative action.

14. Changes to Terms

We may update these Terms from time to time to reflect changes in our practices, technology, legal requirements, or business operations.

When we make material changes to these Terms, we will:

• Update the "Last Updated" date at the top of this page
• Post the updated Terms in the app
• Send an email notification to the address associated with your account
• In some cases, provide an in-app notification

Your continued use of the Service after the updated Terms are posted constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service and delete your account.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

16. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the Service, constitute the entire agreement between you and DEKS MEDIA LLC regarding the Service and supersede all prior agreements and understandings, whether written or oral.
